Pershing Square Holdings, Ltd. (LN:PSH) (LN:PSHD) (NA:PSH) (the “Company”) today published its PSH Annual Report and Financial Statements for the year ended December 31, 2023 . PSH website, https://www.pershingsquareholdings.com/company-reports/financial-statements/.
PSH also announced that its Annual General Meeting (“AGM”) will be held on Wednesday 8 May 2024 at 11am BST at Trafalgar Court, Lebank, St Peter Port, Guernsey, GY1 3QL. Voting results will be announced as soon as possible after the general meeting.
At the general meeting, shareholders will receive the annual report and financial statements, renew PSH's share repurchase authority, approve the reappointment of PSH's supervisory board members and determine their remuneration, and consider approving advance share repurchases. – subscription rights for shares of up to 10% (customary in the London investment fund market), re-election of all existing directors except Anne Farlow, and election of one new director. Mr. Farlow has served as PSH's Chairman since its listing in October 2014 and, in accordance with the requirements of the AIC Code for directors who have served for nine years or more, will not run for re-election.
As previously disclosed, the Board of Directors has elected Mr. Rupert Morley as Chairman of PSH, subject to re-election at the 2024 General Meeting of Shareholders.
Following a search process for director candidates, the nominating committee recommended to the board that Charlotte Denton be selected as an independent non-executive director of the Company.
Ms Denton, who resides in Guernsey, is a Fellow of the Institute of Chartered Accountants of England and Wales, a member of the Institute of Trust and Property Practitioners, and a Fellow of the Institute of Chartered Directors and Directors. She has extensive experience in the global asset management industry, including executive and non-executive positions in regulated companies (including listed funds) in Guernsey and the UK. Mr Denton currently owns two LSE-listed Guernsey investment companies, Starwood European Real Estate Finance Limited (LSE:SWEF) and River & Mercantile UK Micro Cap Investment Company Limited (LSE:RMMC). I am a part-time director of the company. She also serves on the boards of several private companies, including Next Energy Capital Investment Manager Limited and general partner of private equity groups Cinven and HitecVision. She was previously a director of Butterfield Bank (Guernsey) Limited. Throughout her executive career, Ms. Denton has worked in a variety of locations through roles with a variety of organizations, including KPMG, Rothschild, Northern Trust, a real estate development startup, and a private financial services group. Ms Denton holds a degree in Political Science from Durham University.
